Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the stockguard.app website and the StockGuard mobile application (together, or individually, the "Service") operated by StockGuard ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.

1. Description of Service

StockGuard provides inventory monitoring and alert services for Shopify merchants ("Service"). The Service includes:

  • Real-time inventory level monitoring

  • Push notification alerts for low stock and out-of-stock items

  • Customizable alert thresholds (global and per-product)

  • Multi-store support for multiple Shopify stores

  • Multi-location inventory tracking

  • 30-day inventory history and trend analysis

  • Product categorization (Out of Stock, Low Stock, Approaching Threshold)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

Distribution: StockGuard is available through the Apple App Store (iOS app) and the Shopify App Store (embedded admin view). The Shopify App Store installation provides a limited preview of your inventory status. Full features, including push notifications and subscription management, require the iOS app.

2. Accounts and Registration

2.1 Account Creation

To use the Service, you must connect your Shopify store through our secure OAuth 2.0 authentication process. By connecting your store, you agree to:

  • Authorize StockGuard to access your inventory data

  • Provide accurate and current store information

  • Maintain the security of your account and connected devices

  • Immediately notify us of any unauthorized access to your account

2.2 Account Responsibility

You are responsible for all activities that occur under your account and connected stores. You agree not to share your account access with unauthorized third parties.

2.3 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the authority to bind your business to these Terms.

2.4 Multi-Store Accounts

If you connect multiple Shopify stores to StockGuard:

  • Each store counts separately toward your plan's product limits

  • You are responsible for all connected stores under your account

  • Disconnecting one store does not affect other connected stores

  • Plan limits apply to total products across all stores

3. Subscription and Billing

3.1 Free Trial

We offer a 7-day free trial for new users. No credit card is required to start the trial. At the end of the trial period:

  • You may subscribe to a paid plan to continue using the Service

  • If you do not subscribe, your access to the Service will be suspended

  • Your data will be retained for 30 days after trial expiration

  • You may reactivate at any time by subscribing to a paid plan

3.2 Paid Subscriptions

Our paid subscription plans include:

All prices are in USD and subject to change with 30 days' notice. Annual billing options may be available at a discounted rate.

3.3 Billing and Payment

  • Subscriptions are billed monthly or annually in advance

  • Payment is processed exclusively through the Apple App Store billing system, regardless of how you discovered or installed StockGuard

  • To subscribe, you must download the StockGuard iOS app from the App Store

  • Subscription status is managed through RevenueCat

  • You authorize Apple to charge your payment method on a recurring basis

  • Failed payments may result in service downgrade or suspension

3.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

3.5 Plan Changes

  • Upgrades: Take effect immediately; you will be charged a prorated amount

  • Downgrades: Take effect at the end of your current billing period

  • If you exceed your plan's product limit, you may be required to upgrade

4. Cancellation and Refunds

4.1 Cancellation

You may cancel your subscription at any time by:

  • Managing your subscription in iOS Settings > Apple ID > Subscriptions

  • Canceling through the StockGuard iOS app settings

Important: Uninstalling StockGuard from your Shopify admin disconnects your store but does NOT cancel your App Store subscription. You must cancel through Apple to stop billing.

Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period, after which your access to the Service will be suspended.

4.2 Refunds

All purchases are processed through the Apple App Store. Refunds are handled exclusively by Apple in accordance with their refund policies.

To request a refund:

StockGuard does not process refunds directly. All refund requests are subject to Apple's review and approval.

4.3 Store Disconnection

When you disconnect a Shopify store:

  • Monitoring for that store stops immediately

  • Store data is retained for 30 days, then permanently deleted

  • You may request a data export within the 30-day period

  • Other connected stores are not affected

5. Shopify Integration

5.1 Authorization

By connecting your Shopify store, you authorize StockGuard to:

  • Access your inventory and product data via Shopify's API

  • Store necessary authentication tokens securely

  • Periodically query your store for inventory updates

  • Send you notifications based on your alert settings

5.2 API Usage

StockGuard accesses your Shopify store through official Shopify APIs. We:

  • Respect Shopify's API rate limits

  • Only request necessary data (inventory levels, product information)

  • Do not access customer personal data, payment information, or sensitive business data

5.3 Shopify Terms

Your use of StockGuard in connection with Shopify is also subject to Shopify's Terms of Service and API License Agreement. In case of conflict, Shopify's terms regarding their platform take precedence.

6. Push Notifications

6.1 Notification Delivery

StockGuard sends push notifications to alert you about inventory issues. By enabling notifications, you acknowledge that:

  • Delivery depends on device settings, network connectivity, and third-party services (Apple Push Notification service)

  • We cannot guarantee delivery time or success of every notification

  • You are responsible for configuring your device to receive notifications

6.3 Managing Notifications

You can control notifications through:

  • App settings (enable/disable push, sound, badge)

  • Per-product snooze functionality

  • Quiet hours settings (if available on your plan)

  • iOS device settings

7. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose

  • Attempt to gain unauthorized access to the Service, other accounts, or systems

  • Interfere with or disrupt the Service or servers

  • Reverse engineer, decompile, or disassemble the Service

  • Transmit any viruses, malware, or other malicious code

  • Abuse the API or attempt to circumvent rate limits

  • Use automated scripts to access the Service outside of normal app usage

  • Share your account credentials or allow unauthorized access

  • Misrepresent your identity or store ownership

  • Violate any applicable laws or regulations

Violation of these terms may result in immediate termination of your account without refund.

8. Intellectual Property

8.1 Our Property

The Service and its original content, features, and functionality are and will remain the exclusive property of StockGuard and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and trade dress may not be used without our prior written consent.

8.2 Your Data

You retain all rights to the data you input into the Service and data retrieved from your Shopify store. By using the Service, you grant us a limited license to use this data solely to:

  • Provide and operate the Service

  • Generate alerts and reports for your benefit

  • Improve the Service (using aggregated, anonymized data)

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall StockGuard, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits or revenue

  • Loss of data

  • Loss of goodwill

  • Business interruption

  • Stockouts or inventory issues

  • Lost sales or customer relationships

  • Missed reorder opportunities

  • Decisions made based on Service information

Important: StockGuard is a monitoring and alerting tool only. We are NOT responsible for:

  • Stockouts that occur despite our alerts

  • Decisions you make based on our notifications

  • Delays in notification delivery

  • Inaccuracies in Shopify inventory data

  • Business losses of any kind

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, reliability, or availability of the Service

We do not warrant that:

  • The Service will be uninterrupted or error-free

  • Defects will be corrected in any specific timeframe

  • The Service is free of viruses or harmful components

  • Alerts will always be delivered on time

  • Inventory data will always be accurate or current

  • The Service will meet your specific business needs

11. Indemnification

You agree to indemnify, defend, and hold harmless StockGuard and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your Shopify store operations

  • Any claims related to your inventory management

12. Termination

12.1 Termination by You

You may terminate your account at any time by disconnecting all stores and uninstalling the app.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for:

  • Breach of these Terms

  • Non-payment of fees

  • Fraudulent or abusive activity

  • Extended period of inactivity (12 months or more)

  • Violation of Shopify's terms

  • Any reason at our sole discretion

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease

  • Your data will be retained for 30 days, then permanently deleted

  • You may request a data export within the 30-day period

  • No refunds will be provided for termination due to Terms violation

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to new terms taking effect.

Notice will be provided through:

  • Push notification in the app

  • Email notification to your registered email address

  • Prominent notice on our website

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service will be resolved through:

  1. Informal Resolution: Contact us first at support@stockguard.app

  2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration

  3. Small Claims: Either party may bring claims in small claims court

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and StockGuard concerning the Service and supersede all prior agreements and understandings.
